Proofpoint said on October 15 that it signed a definitive agreement to purchase AI security specialist Varonis for $6.3 billion in cash. The all-cash deal is expected to close during the first half of 2027, according to Infosecurity Magazine's cybersecurity M&A roundup.

The purchase will let Proofpoint develop a unified platform that helps organizations adopt AI securely, with access controls and data-loss prevention. The companies expect the combined business to serve millions of organizations globally and become one of the world's largest pure-play cybersecurity providers.

Thoma Bravo, the private equity firm, holds Proofpoint in its portfolio. Infosecurity Magazine called the Proofpoint-Varonis transaction the biggest headline deal of the month and said the need to enhance AI security was a recurring theme across the M&A announcements made in October 2026. The roundup also listed Anthropic's agreement to acquire AI security company Opaque Systems and IonQ's proposed all-stock purchase of zero trust provider Elisity for up to $1.3 billion.
